Welcome to Melville! These Terms and Conditions ("Terms") govern your access to and use of Melville's website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

By accessing or using any part of the Services, you agree to become bound by the terms and conditions of this agreement. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

2. Services Description

Melville provides automation consulting, implementation, and ongoing support services, including but not limited to Robotic Process Automation (RPA), Artificial Intelligence (AI) and Machine Learning (ML) integration, workflow optimization, and custom automation solutions, offered through various subscription plans or custom project agreements.

3. Account Registration and Security

a. You may be required to register an account to access certain features of our Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.b. You are responsible for safeguarding your password and for any activities or actions under your account. Melville cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Payment Terms

a. Subscription Plans: If you subscribe to a Melville plan (e.g., Foundation, Growth, Enterprise), you agree to pay all applicable fees as described on our pricing page or in your custom agreement. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities.b. Billing Cycles: Fees for subscription plans are billed on a monthly or quarterly basis, as selected by you. Payments are due in advance of each billing cycle.c. Custom Solutions: For custom automation solution offers, payment terms will be outlined in a separate Statement of Work (SOW) or project agreement.d. Late Payments: Late payments may incur interest or late fees as specified in your agreement.e. Refunds: All fees are non-refundable unless otherwise expressly stated in your specific service agreement or as required by applicable law.

5. Intellectual Property

a. Melville's IP: All intellectual property rights in the Services, including but not limited to software, designs, text, graphics, logos, and trademarks, are owned by Melville or its licensors. You may not use any of Melville's intellectual property without our prior written consent.b. Client IP: Any intellectual property provided by you to Melville for the purpose of delivering the Services (e.g., business processes, data) remains your property.c. Developed IP: Unless otherwise specified in a separate SOW or agreement, any custom automation solutions, code, or deliverables developed by Melville specifically for you under a paying engagement will be subject to the intellectual property terms outlined in that specific agreement.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation of confidentiality shall not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. User Conduct

You agree not to:a. Use the Services for any unlawful purpose or in any way that violates these Terms.b. Interfere with or disrupt the integrity or performance of the Services.c. Attempt to gain unauthorized access to the Services or their related systems or networks.d. Engage in any activity that could damage, disable, overburden, or impair any Melville server or the networks connected to any Melville server.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Melville does not warrant that the Services will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Melville, its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Melville, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms.

11. Termination

Melville may terminate or suspend your access to all or part of the Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Country/State, e.g., Germany], without regard to its conflict of law principles.

13. Changes to Terms

Melville reserves the right, at its sole discretion, to modify or replace any part of these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
